Onsemi to acquire Synaptics in $7 billion all-stock deal to expand AI portfolio

Onsemi’s biggest acquisition so far strengthens its push into AI-enabled devices, robotics and connected computing.

Chipmaker Onsemi has agreed to acquire Synaptics in an all-stock deal valued at about $7 billion, marking its largest acquisition to date as it expands deeper into AI-enabled devices and physical AI applications, Reuters reported.

Under the deal terms, Synaptics shareholders will receive 1.35 shares of Onsemi common stock for each Synaptics share, representing a 19% premium based on the companies’ 10-day volume-weighted average closing prices.

The acquisition is aimed at accelerating Onsemi’s growth in physical AI , AI embedded in devices and machines. Synaptics’ connected computing platform is expected to strengthen Onsemi’s presence across automotive, industrial and power markets.

“What Synaptics brings to us is this acceleration with a world-class connected compute platform,” said Onsemi CEO Hassane El-Khoury in an interview with Reuters.

He added that the combined business could create a market leader in the physical AI segment. Onsemi expects the acquisition to expand its addressable market by $30 billion to $243 billion by 2030.

The company also sees growth opportunities in Synaptics’ human-machine interface business and broader R&D capabilities in robotics and humanoid technologies.

Following the announcement, Onsemi shares fell nearly 10% in extended trading, while Synaptics shares rose more than 10%.
