Quantum Completes Acquisition With NHanced Semiconductors

The acquisition is expected to enhance domestic semiconductor manufacturing capabilities

Quantum Computing has completed its acquisition of NHanced Semiconductors in a transaction valued at approximately $73.1 million, comprising cash and QCi stock, subject to customary adjustments. The agreement also includes potential additional consideration of up to $72.0 million based on the achievement of specified performance milestones.

The acquisition marks a significant milestone in QCi’s evolution from a research and prototyping-focused company to a scalable commercial manufacturer. By incorporating NHanced’s semiconductor and nanophotonics fabrication capabilities, advanced packaging expertise, and highly specialised engineering talent, QCi is strengthening its manufacturing infrastructure and operational readiness.

Advanced photonics technologies and manufacturing capabilities form a key pillar of QCi’s commercialisation strategy. Following the successful integration of Luminar Semiconductor Inc., which enhanced QCi’s expertise in lasers, photonic packaging, testing, and light detection technologies, the addition of NHanced further expands the company’s end-to-end manufacturing capabilities. The acquisition lays the groundwork for scalable production of QCi’s quantum and photonic technologies, supporting its vision of a vertically integrated platform encompassing research, development, and manufacturing.

With this strategic move, QCi is better positioned to meet growing demand across quantum computing, sensing, networking, and photonics markets. In addition to its quantum technology portfolio, the company now offers advanced semiconductor and nanophotonics manufacturing services, including lasers, detectors, packaging, testing, and integrated solutions.

NHanced, a U.S.-based advanced packaging foundry, specialises in semiconductor integration, hybrid bonding, chiplet architectures, silicon interposers, and photonic device integration. Its expertise complements QCi’s photonics and quantum technologies, enabling the development and commercialisation of next-generation solutions through advanced 2.5D and 3D heterogeneous integration, as well as the scaling of QCi’s Thin-Film Lithium Niobate (TFLN)-on-Silicon Photonics platform.

The acquisition is expected to enhance domestic semiconductor manufacturing capabilities, strengthen supply chain resilience, and support the development of advanced photonic chips for applications in quantum computing, artificial intelligence, networking, secure communications, and defence. By bridging the gap between research innovation and scalable production, QCi aims to accelerate the commercialisation of cutting-edge quantum and photonic technologies.

Commenting on the acquisition, Bob Patti, CEO of NHanced, said the partnership represents a significant opportunity to combine NHanced’s manufacturing expertise with QCi’s vision for quantum and photonic technologies. He noted that the combined capabilities would help accelerate the commercialisation of next-generation solutions while delivering greater value to customers and industry partners.

Following the acquisition, NHanced will continue to operate as a wholly owned subsidiary of QCi. The company will maintain its commitment to supporting existing customers and partners, including those within the quantum technology ecosystem, while continuing to provide its established products, services, and technical expertise and pursuing new growth opportunities.
