KPIT Technologies has announced the acquisition of Caresoft Global’s Engineering Solutions business, aiming to enhance its capabilities in the commercial vehicle sector. The deal is valued at up to $191 million and will be executed over a four-year period, with a mix of cash and equity, subject to shareholder approval.
This acquisition will help KPIT deepen its footprint in the truck and off-highway vehicle segments. It will also accelerate the company’s expansion into the Chinese market, leveraging Caresoft’s existing relationships and technical know-how.
In a filing with the Bombay Stock Exchange, KPIT detailed that $25 million of the total value will be tied to performance-based variables, including revenue targets and business synergies.
Caresoft Global, known for its expertise in vehicle benchmarking, cost optimisation, and technology engineering, will restructure into three units. KPIT will acquire the Engineering Solutions segment, which has global operations.
The partnership is expected to deliver synergies in four core areas: expanding KPIT’s truck and off-highway segment, enhancing entry into China, increasing cost-saving capabilities across vehicle categories, and acquiring manufacturing and plant engineering expertise.
This move comes at a time when the automotive sector faces rising challenges from geopolitical tensions, supply chain disruptions, and growing competition from Chinese original equipment manufacturers (OEMs).
KPIT CEO and Managing Director Kishor Patil said the acquisition aligns with the company’s vision of integrating hardware, software, and manufacturing to deliver agile, cost-efficient solutions.
Mathew Vachaparampil, CEO of Caresoft Global, described the deal as a milestone that reflects both firms’ shared focus on customer-centricity and innovation.

KPIT Technologies employs about 13,000 professionals and operates engineering centres across Asia, Europe, and North America. Caresoft, headquartered in the US, offers specialised services in benchmarking and cost reduction across major automotive markets.
