German chipmaker sheds NOR Flash and F-RAM divisions to sharpen capital focus on core semiconductor growth drivers.
German semiconductor manufacturer Infineon Technologies has agreed to sell its NOR Flash and F-RAM business to Taiwanese memory maker Winbond in an all-cash deal valued at $1.12 billion.
The division provides specialty memory components to clients across automotive, industrial, and infrastructure sectors. The transaction is slated for completion in the second half of 2027, subject to standard regulatory approvals. Winbond plans to operate the newly acquired business as an independent standalone entity, headquartered in Silicon Valley.
Peter Schiefer, President of Infineon’s Automotive Division, highlighted that the sale delivers a compelling strategic outcome, enabling Infineon to streamline its product portfolio and concentrate capital allocation on core growth drivers, whilst allowing the memory division to realise its full potential.
Following the acquisition, Winbond will combine Infineon’s specialty lines with its existing memory range to offer a broader suite of complementary NOR Flash and F-RAM solutions. Meanwhile, Infineon will retain select specialty memory offerings—including SRAM, HYPERRAM, nvSRAM, and SONOS-based radiation-hardened memory—to support high-reliability applications in the automotive, industrial, aerospace, and defence markets.
